Terms of Service

These Terms of Service (“Terms”) govern your use of the Transparent Search Group website at transparentsearchgroup.com (the “Site”), the Partner Portal, and any retained-search or consulting services provided by Transparent Search Group(“TSG,” “we,” “our”). By using the Site or engaging our services, you agree to these Terms.
1. Who these terms apply to
These Terms cover three audiences with related but distinct obligations:
- Site visitors — anyone browsing the Site, reading our resources, or submitting a form.
- Candidates — engineering leaders and individual contributors whose profiles we evaluate, contact, or shortlist.
- Partners— companies that engage TSG to conduct a retained search or advisory engagement under a separate Engagement Letter or Master Services Agreement (“MSA”).
If a separate written agreement exists between TSG and a Partner (Engagement Letter, MSA, or similar), that agreement controls in the event of any conflict with these Terms.
2. Acceptable use
You agree not to:
- Use the Site for any purpose that is unlawful or prohibited by these Terms.
- Scrape, harvest, or otherwise extract data from the Site outside ordinary browsing.
- Attempt to circumvent authentication on the Partner Portal, access another partner’s data, or otherwise gain unauthorized access to any part of the Site or our infrastructure.
- Use information obtained from the Site (including candidate profiles you receive as a Partner) for any purpose other than evaluating candidates for the specific role under engagement.
- Reverse-engineer, decompile, or attempt to extract the underlying scoring models, prompts, or proprietary methodologies.
- Send malicious code, attempt denial-of-service attacks, or otherwise interfere with the Site’s operation.
3. Search services
3.1 Engagement
Retained-search engagements are governed by a separate Engagement Letter signed by an authorized representative of both parties. The Engagement Letter sets fee structure, search scope, exclusivity, off-limits provisions, replacement guarantees, and termination rights. These Terms supplement but do not replace that agreement.
3.2 AI-assisted scoring
TSG uses AI-assisted scoring to rank candidate fit. Scores inform — but do not solely determine — shortlisting decisions; a human reviewer evaluates every candidate presented to a Partner. TSG does not represent that any specific candidate will accept a role, perform at any specific level, or remain with a Partner for any defined period. Replacement provisions (if any) are governed by the Engagement Letter.
3.3 Confidentiality of partner information
Information shared by a Partner during a search (role specifications, internal context, candidate feedback) is treated as confidential and used solely to conduct the search. We do not share Partner information with other Partners or with candidates beyond what is necessary to complete the engagement.
4. Candidate matters
- We may contact you about specific opportunities based on publicly available professional information and licensed third-party data. You may unsubscribe at any time using the one-click link in every email.
- You are not under any obligation to respond to outreach, interview for any role, or remain in our pipeline.
- Information you voluntarily share (resume content, intake answers, role preferences) is treated as confidential and governed by our Privacy Policy.
- Acceptance of a role placed by TSG is solely between you and the hiring Partner. TSG receives a fee from the Partner; you never pay TSG for our services.
5. Intellectual property
The Site, including its design, code, content, and underlying scoring methodology, is the intellectual property of TSG and our licensors. We grant Site visitors a limited, non-exclusive, non-transferable license to access and use the Site for its intended purpose. All other rights are reserved.
You retain ownership of any information you provide (resume content, role specifications, search feedback). You grant TSG a non-exclusive license to use that information solely to provide the services described in these Terms and the applicable Engagement Letter.
6. Disclaimers
The Site and its content are provided “as is” and “as available.” TSG disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Without limiting the foregoing, we make no warranty that the Site will be uninterrupted, timely, secure, or error-free, or that any information on the Site (including job listings, salary ranges, or market intelligence) is current or accurate.
7. Limitation of liability
To the maximum extent permitted by law, TSG will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Site. TSG’s total aggregate liability under these Terms is limited to (a) for Partners, the fees actually paid to TSG under the applicable Engagement Letter in the twelve months preceding the claim; (b) for all other users, USD $100. Some jurisdictions do not allow these limitations; in those jurisdictions, the limitations apply to the maximum extent permitted.
8. Indemnification
You agree to indemnify and hold TSG harmless from any claims arising from (a) your breach of these Terms, (b) your misuse of the Site or services, or (c) your violation of any law or third-party right. TSG will indemnify Partners as set out in the Engagement Letter.
9. Termination
TSG may suspend or terminate your access to the Site at any time for any reason, with or without notice, including for violations of these Terms. Sections that by their nature should survive termination (Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law) will survive.
10. Governing law
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Site will be resolved exclusively in the courts located in Toronto, Ontario, unless the applicable Engagement Letter specifies a different forum. The parties waive any objection to that forum.
11. Changes
We may update these Terms from time to time. Material changes will be reflected in the “Effective” date at the top. Continued use of the Site after changes constitutes acceptance.
